Procurement advisory for automotive components and materials
Long-term technical consultancy services
All services are provided based on agreed project scope, service agreement, or retained consulting contract.
2. Service Engagement
2.1 Project-Based Work
Services delivered on a project basis will be defined through written quotations, proposals, or agreements outlining scope, timelines, and pricing.
2.2 Consulting & Retained Services
Long-term consulting services will be governed through contractual agreements specifying deliverables, responsibilities, and service duration.
3. Client Responsibilities
The Client agrees to:
Provide accurate vehicle, technical, and project-related information
Provide safe and legal access to vehicles, workshops, or facilities
Ensure compliance with local automotive and road regulations
Obtain necessary permissions or approvals required for modifications
Cooperate during project execution and testing processes
Derewal Motors Ltd shall not be responsible for delays caused by inaccurate or incomplete information provided by the Client.
4. Pricing & Payment Terms
All pricing will be quoted based on project scope and technical complexity.
Payments may require advance deposits, milestone payments, or full payment prior to delivery.
Payment terms will be specified in quotations or agreements.
Late payments may attract interest or service suspension.
All payments are non-refundable unless otherwise agreed in writing.
5. Project Timelines
Estimated completion timelines are provided based on available information and technical evaluation. The Company shall not be liable for delays caused by:
Supply chain or parts availability
Technical complexities discovered during work
Client approval delays
External regulatory or compliance requirements
Unforeseen mechanical or electrical faults
6. Modifications & Engineering Work
Vehicle modifications may affect manufacturer warranties or regulatory compliance.
The Client accepts responsibility for obtaining required approvals from regulatory authorities or insurers.
Derewal Motors Ltd will perform work based on engineering standards and technical feasibility but does not guarantee manufacturer warranty retention unless explicitly stated.
7. Limitation of Liability
To the maximum extent permitted by law:
The Company shall not be liable for indirect, incidental, or consequential damages.
Liability is limited to the total fees paid for the specific service or project.
The Company shall not be responsible for failures caused by third-party components or client-supplied materials.
8. Warranty & Technical Assurance
The Company provides service-level assurance for workmanship as specified in individual service agreements.
Warranty does not cover misuse, accidents, unauthorised modification, or normal wear and tear.
Any third-party parts or equipment are subject to manufacturer warranty only.
9. Confidentiality
Both parties agree to maintain confidentiality of:
Technical designs and engineering data
Manufacturing processes and tooling information
Commercial or financial information
Proprietary business strategies
Non-Disclosure Agreements (NDAs) may be executed where required.
10. Intellectual Property
All engineering designs, technical documentation, consulting methodologies, and project deliverables developed by Derewal Motors Ltd remain Company intellectual property unless otherwise agreed in writing.
Clients are granted usage rights only for agreed project or operational purposes.
11. Health & Safety
The Client must ensure that:
Vehicles and facilities meet safety standards
Hazardous conditions are disclosed prior to work commencement
The Company reserves the right to suspend services if safety risks are identified.
12. Termination of Services
Either party may terminate services:
Upon breach of contractual obligations
For non-payment of invoices
If technical or regulatory risks make project continuation unsafe or unlawful
Termination does not affect payment obligations for completed work.
13. Regulatory Compliance
Clients are responsible for ensuring that vehicle modifications and engineering work comply with local transportation, environmental, and safety regulations.
Derewal Motors Ltd provides technical support but does not guarantee regulatory approval unless specifically contracted.
14. Force Majeure
The Company shall not be liable for delays or failure to perform services due to events beyond reasonable control, including:
Natural disasters
Supply chain disruptions
Government restrictions
Industrial disputes
Pandemics or emergencies
15. Governing Law
These Terms shall be governed and interpreted under the laws of [Insert Jurisdiction/Country], and disputes shall be subject to the jurisdiction of its courts.
